Preamble

Welcome to Ubex! Our platform provides access to Ubex AI's artificial intelligence models tailored for text generation alongside a range of complementary services (the "Services").

This agreement (the "Agreement") is entered into by and between Ubex AI, a company specializing in AI solutions ("Ubex AI" or "Us") and any person who uses, accesses, or subscribes to the Services ("You" or the "Customer").

These Terms of Use apply to any Subscription, use, and/or access to the Services by You. By subscribing, accessing, or using the Services, You expressly agree to abide by and be bound by this Agreement.

1. Definitions

The capitalized words in this document shall have the meaning set forth below:

• "Account": means Your account on the Platform.
• "Agreement": means the agreement entered into by and between Ubex AI and You, composed of these Terms of Use, applicable Terms of Service, and all materials referred to herein.
• "Platform": means the Ubex website and application through which Services are provided.
• "Services": means all products, features, and functionalities provided by Ubex AI.
• "Subscription": means Your registration to access and use the Services.
• "Subscription Plan": means the specific tier of Services You have subscribed to.

2. Purpose and Scope

2.1. Purpose

The purpose of this Agreement is to describe the rights and responsibilities of the Parties in connection with Your use of the Services.

2.2. Scope

These Terms of Use apply to any Subscription, access to or use of the Services by You on the Platform or via a Marketplace.

Some Services may be subject to additional terms specific to that Service as set forth in the applicable Terms of Service. By accessing or using a Service covered by the Terms of Service, You also agree to such Terms of Service.

3. Acceptance

Any access or use of the Services by You implies Your unreserved agreement to these Terms of Use. You must read these Terms of Use carefully before using the Services.

By clicking on "I agree" (or any similar button or checkbox on the Platform) at the time You sign up for a Service, You expressly agree to be bound by this Agreement.

If You agree to any of the terms composing this Agreement on behalf of Your employer or a legal entity, You warrant and represent that You possess the authority to act and accept such terms on their behalf.

4. Access to Our Services

4.1. Requirements

• Age Limitation: You must be at least eighteen (18) years old to use Our Services.
• Technical Requirements: You need a computer or compatible device and high-speed internet connection to access the Services.
• Costs: Unless otherwise stated, the costs of technical requirements shall be borne solely by You.

4.2. Your Account

You must create an Account on the Platform to use the Services. You must provide complete, correct, and up-to-date information and promptly update it if any changes occur.

Your Account is intended for Your use only. You shall not share Your Account with any third party without Ubex's prior written consent. You are solely responsible for any action carried out via Your Account.

5. Subscription to the Services

5.1. Free Services

To access Free Services, You must create Your Account and accept this Agreement.

5.2. Paid Services

To subscribe to Paid Services, You must:

• Create Your Account in compliance with these Terms
• Choose Your Subscription Plan
• Choose Your payment method
• Provide Your payment and billing information
• Accept this Agreement
• Review and confirm Your Subscription

6. Fees and Payment

Fees for Paid Services are as described on the Platform. You must provide accurate payment information and keep it up-to-date.

Ubex reserves the right to decline Your Subscription in case of suspected fraud or misrepresentation. In such cases, any pre-paid Fees will be refunded.

7. Your Obligations

You agree to:

• Use the Services in compliance with all applicable laws and regulations
• Not use the Services for any illegal or unauthorized purpose
• Not attempt to gain unauthorized access to any part of the Services
• Not interfere with or disrupt the Services or servers
• Not use the Services to generate harmful, abusive, or illegal content
• Maintain the security of Your Account credentials

8. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, algorithms, models, and documentation, are owned by Ubex AI or its licensors.

You retain ownership of any content You create using the Services, subject to Ubex AI's underlying intellectual property rights.

9. Liability

The Services are provided "as is" without warranties of any kind. Ubex AI shall not be liable for any indirect, incidental, special, or consequential damages.

Ubex AI's total liability shall not exceed the amounts paid by You for the Services during the twelve (12) months preceding the claim.

10. Termination

You may deactivate Your Account at any time by contacting support@ubex.ai. For Paid Services, termination is subject to the terms of Your Subscription Plan.

Ubex reserves the right to suspend or terminate Your Account if You violate these Terms of Use or engage in unauthorized use of the Services.
